Terms of Service

Last updated: 30 October 2026 · Version 0.1 (DRAFT)

PLACEHOLDER — this is not legal advice. The text below is scaffolding for internal review only. Replace every section with your own counsel-reviewed Terms of Service (and fill in the bracketed [...] details) before onboarding external customers or going to public launch.

1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of the EntBox AI platform, websites, APIs, and related services (the "Service") provided by [Legal Entity Name], [jurisdiction of incorporation] ("EntBox", "we", "us"). By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy and Acceptable Use Policy, which are incorporated by reference. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2. The Service

EntBox AI provides multi-tenant access to GPU compute, model inference, and workflow tooling. Features, capacity, and pricing may change. [Describe the core service, any SLAs or the absence thereof, and supported use cases.]

3. Accounts & eligibility

You must provide accurate registration information, verify your email address, and keep your credentials secure. You are responsible for all activity under your account and API keys. You must be at least [18] years old and not barred from using the Service under applicable law. [Describe team/tenant roles and who may act for the organization.]

4. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy. We may suspend or terminate access for violations. [Summarize prohibited conduct or defer entirely to the AUP.]

5. Fees, credits & billing

The Service is billed on a prepaid credit basis metered by compute, storage, and other usage as described at [pricing page]. Credits are [non-refundable / refundable under conditions], and rates may change on [notice period] notice. You authorize us to debit your balance for usage. [Describe taxes, invoicing, currency, promotional credit, and what happens at a zero or negative balance.]

6. Your content & data

You retain ownership of the data, prompts, models, and outputs you submit or generate ("Customer Content"). You grant us a limited license to host and process Customer Content solely to provide the Service. [Describe any use of data for model training — recommended default: we do NOT train on Customer Content — and reference the Privacy Policy.]

7. Virtual machines, browser terminal & console access

When you rent a virtual machine, you sign in to it with the SSH key you provide. Password and root logins are turned off.

To power the browser terminal (the Open terminal button in Assets), we also add an EntBox key to each new virtual machine you rent with the terminal key turned on. It appears in ~/.ssh/authorized_keys as the line ending in entbox-cloud-shell. Each virtual machine gets its own key, and our copy is stored encrypted.

When you rent a virtual machine, the Add the browser terminal key box is ticked by default. Untick it to keep the virtual machine SSH-only: we then create no EntBox key for it, it has no browser terminal, and the terminal can’t be added later.

We use this key only to connect browser terminal sessions that you, or members of your account, open from the portal, and to remove the key when you ask us to. Each session is recorded in that virtual machine's activity log. Anyone on your account who can open the terminal can use it.

You can remove our access at any time. In Assets, open How to connect for the virtual machine and choose Turn off browser terminal. We then remove the key line from the virtual machine, delete our copy, and close any open terminal. This can't be undone for that virtual machine, and SSH with your own key keeps working. You can also delete the line yourself; without it, the terminal can no longer sign in. When you release a virtual machine, it and its key are deleted.

Each virtual machine also has a browser console (the Open console button in Assets). It shows the virtual machine’s screen and sends your keyboard and mouse to it, as if a monitor and keyboard were plugged in. It needs no key: we add nothing to the virtual machine, and you log in with a password you set on it yourself. Our images come with no password, so until you set one, the console shows the screen but can’t be used to log in.

Anyone on your account can open the console of your account’s virtual machines from the portal, one window at a time per virtual machine, for up to 8 hours per session. Each session is recorded in that virtual machine’s activity log. We don’t open your console ourselves unless you ask us to, for example for support. If you leave a session logged in on the screen, anyone on your account who opens the console can use it, so log out or lock the screen when you finish.

8. Intellectual property

The Service, including its software and branding, is owned by EntBox and its licensors. These Terms grant no rights except as expressly stated. [Describe feedback license and any open-source components.]

9. Third-party models & services

The Service may run third-party or open-source models and rely on third-party infrastructure and email delivery. Your use of those components may be subject to their own licenses and terms. [List key third parties and any pass-through terms.]

10. Beta / "as is" disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis and may be under active development, with interruptions or changes at any time. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. [Adjust if you offer any SLA.]

11. Limitation of liability

To the maximum extent permitted by law, EntBox will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability is limited to the amounts you paid for the Service in the [12] months preceding the claim. [Have counsel set the cap and carve-outs.]

12. Indemnification

You agree to indemnify and hold EntBox harmless from claims arising out of your Customer Content or your violation of these Terms or applicable law. [Scope to be reviewed by counsel.]

13. Suspension & termination

We may suspend or terminate your access for violations of these Terms or the AUP, non-payment, or to protect the Service or other customers. You may stop using the Service at any time. [Describe data export/deletion on termination and any wind-down period.]

14. Changes

We may update these Terms from time to time. Material changes will be communicated by [email / in-app notice], and continued use after they take effect constitutes acceptance.

15. Governing law & disputes

These Terms are governed by the laws of [jurisdiction], without regard to conflict-of-laws rules. [Specify venue, arbitration, and class-action provisions as advised by counsel.]
